- INTRODUCTION

- I have spent many years being occupied with small and
- medium sized businesses either as an employee or as an owner. I
- also have spent a number of years surrounded by lawyers - my
- grandfather was on the faculty at a local law school and I put
- my brother through that same law school. My grandfather's
- career was very distinguished and my brother is making the "big
- bucks" working for a major New York bank.

- As I have been involved in business ventures I have gotten a
- return on my investment by having my brother go over my deals
- (usually laughing hysterically) and giving me pointers on how to
- improve my legal writing ability. I also learned to find him
- tucked away in the law school library. Since we look somewhat
- alike, I usually got in without having to pay or without an ID.
- I soon learned that many lawyers rely heavily on "form books".
- These are books which have legal forms in them to help lawyers
- understand what it is they are writing.

- Most of the forms and help I needed were incredibly simple
- things and didn' t really require the advice of counsel.
- Unfortunately these books are written for lawyers in technical
- legal talk and are also priced for lawyers. Over the years I
- have kept a collection of some of these forms which I translated
- more or less into common English and changed them drastically
- for my own usage.

- I had more or less the same experience with letters. It is
- awfully hard to just sit down and write a coherent letter about
- an important subject without taking hours of careful thought. I
- have taken hoursof careful thought and have shared with you many
- of the letters I have devised over the years.

- Usage

- Many times in the course of our business or professional
- endeavors we come across the need to create simple legal
- documents or simple letters. However, when we come to such a
- time, we often are at a loss at how to write such documents.
-
- One course of action is to buy a book and type out the
- examples. This is ok, but there is a lot of time and labor
- involved in typing in such documents. There are a number of
- software alternatives, but most of them simply give you text in
- TEXT form which has absolutely no format to it whatsoever. You
- still have to take a considerable amount of time taking out
- carriage returns and putting in the fonts you want. This can
- take even more time than typing in the text from scratch!

- I have taken the approach of offering PRE-FORMATTED forms
- and letters. I have also enclosed TEXT files as a last resort
- for you to use.

- Here are some ideas to get the most out of "F & L":

- * I have designed "F & L" to be used as a set of
- fill-in-the-blank documents.

- * Always follow any standards or formats that your
- company has set up. Just because "F & L" is neat and
- will save you time so that you can play computer
- games doesn't mean you should ignore any
- corporate standards. "F & L" is written in
- Times or Helvetica fonts and the margins are all
- changeable to suit your needs.

- You will probably goof them up a number of times, so be
- prepared. Everybody does it so don't feel bad. Don't believe

- Now read through the next few sections and pick out a file
- which you think will work best for you.

- The convention in the legal world is to use a Times Roman font for
- legal documents. In fact, many government documents make it a
- requirement.

- When it comes to letters, there aren't any conventions you need to
- be aware of. I have found that if you will be faxing a document,
- a sans serif font (like Helvetica) turns out better on the other
- end.

- of documents. The items you need to replace will either be in
- brackets "[ ]".or wil be dollar amounts "XX". Specific

- The Uniform Commercial Code may require you to use either the Bulk
- Sales #1 or #2 (additional file whenyou register) with this file.
- The basic rule of thumb is: if you owe money to creditors, you
- have to get their permission to transfer responsibility for
- payment of those debts before you actually transfer it.

- This is the legal way to get out of a contract or to allow

- Some cities or counties will require you to register your trade
- name if you are operating a business under any name other than

- One way of guaranteeing payment is by taking a security
- interest in one of your customer's assets, so that if he can't
- pay, you can take possession of the item offered as security.
- To make this effective, you should file this form with your
- Secretary of State.
